Welcome to Roki. These Terms and Conditions govern your access to and use of the website, applications, digital platforms, and services offered by Roki (hereinafter, the “Service”). By accessing, registering for, or using the Service, you expressly agree to these Terms.

• Roki: Fintech technology platform that offers digital payment solutions and related services.
• User: Natural or legal person who accesses or uses the Service.
• Customer: User who contracts or actively uses Roki services.
• Platform: Roki's website, mobile apps, APIs, and other digital tools.

2. Nature of the Service

Roki is a technological platform Roki provides digital tools for managing payments and related services. It is not a financial institution., bank or card issuer, unless expressly stated otherwise in accordance with applicable regulations.

3. Eligibility

To use the Service, the User declares that:

• It has the legal capacity to enter into contracts.
• It provides truthful, up-to-date, and complete information.
• Use the Service only for lawful purposes.

Roki reserves the right to reject or suspend registrations that do not meet these criteria.

4. Registration and Account

• The User is responsible for the confidentiality of their credentials.
• Roki will be able to request processes of identity verification (KYC) before enabling full functionality.

5. Permitted Use

The User agrees to:

6. Verification Process

Roki may request documents, additional information, and technical validations for:

• Verify the User's identity.
• Comply with legal obligations and fraud prevention measures.

The approval or rejection of an application is at Roki's discretion.

7. Service Limitations

Roki does not guarantee:

• Uninterrupted Service Availability.
• Total absence of technical errors.
• Specific business results.

The Service is provided “exactly”" and "“subject to availability”.

8. Rates and Payments

Applicable fees will be communicated to the User in advance. Roki reserves the right to modify prices, notifying its Customers accordingly.

9. Intellectual Property

All content, trademarks, logos, designs, and software are the exclusive property of Roki or its licensors. Their use without express authorization is prohibited.

10. Data Protection

Roki will process personal data in accordance with its Privacy Policy, which forms an integral part of these Terms.

11. Suspension and Termination

Roki may suspend or cancel access to the Service when:

• These Terms are breached.
• There are indications of fraud or misuse.
• As required by competent authorities.

12. Limitation of Liability

To the fullest extent permitted by law, Roki will not be liable for:

• Indirect, incidental or consequential damages.
• Economic losses resulting from the use of the Service.

13. Compensation

The User agrees to indemnify and hold Roki harmless against any claim arising from the improper use of the Service.

These Terms shall be governed by the laws of the Republic of Honduras, and any dispute will be submitted to the competent courts of the country.

17. Approval and Validity

These Terms and Conditions have been approved internally by Roki and come into effect from December 1, 2025.

Continued use of the Platform after that date implies express acceptance of the current version of these Terms.

18. Separability

If any provision of these Terms is deemed invalid or unenforceable by a competent authority, the remaining provisions will remain in full force and effect.

19. Assignment

The User may not assign or transfer their rights or obligations under these Terms without Roki's prior written consent. Roki may assign these Terms as part of a corporate reorganization, merger, or acquisition.

20. Total Agreement

These Terms, together with the Privacy Policy and any additional documents published by Roki, constitute the full agreement between the User and Roki regarding the use of the Service.

By using the Platform, the User confirms that they have read, understood and accepted these Terms and Conditions in their entirety.
